Terms of Service

These Terms of Service (“Terms”) govern your access to and use of our website, communications, and professional services. By accessing our site or engaging Brandvanta Dynamics (“we,” “us,” “our”), you agree to be bound by these Terms. If you do not agree, do not use the site or request services.

1) Overview & Definitions

Our work focuses on brand strategy, brand identity, creative direction, messaging systems, guidelines, and related deliverables (collectively, the “Services”). We may provide recommendations, frameworks, creative assets, templates, documentation, and implementation support depending on the project.

“Client” means any individual or entity requesting or purchasing Services. “Deliverables” means the outputs we provide as part of the Services (for example: brand concepts, logo files, visual systems, tone-of-voice guidance, templates, documentation, and usage rules). “Order,” “Proposal,” “Statement of Work,” or “SOW” means any written scope and pricing that we provide and you accept.


2) Eligibility & Acceptable Use

You represent that you are at least the age of majority in your jurisdiction and have authority to enter into these Terms on behalf of the entity you represent. You agree not to misuse the website or Services, including by attempting to disrupt systems, harvest data, interfere with other users, or engage in unlawful, infringing, deceptive, or abusive activity.

We may suspend access or refuse service if we reasonably believe there is fraud, misuse, harassment, intellectual property infringement, non-payment risk, or legal exposure associated with the engagement.

3) Service Engagement & Scope

Services are provided on a project basis or an ongoing retainer basis, as described in a Proposal/SOW. Any examples, previews, schedules, or estimates shared verbally or in informal messages are non-binding unless included in an accepted Proposal/SOW.

If you request work outside of the agreed scope, we may (a) decline, (b) propose a change order, or (c) treat it as additional billable work at our then-current rates. Scope changes commonly include adding extra deliverable types, expanding applications, increasing the number of stakeholder rounds, or changing the target audience/market after discovery.

4) Client Responsibilities

You agree to provide timely input, materials, and approvals necessary for the project. This includes access to brand history, existing assets, preferences, stakeholders, and decision makers. You confirm that any materials you provide (including logos, photos, fonts, copy, trademarks, and proprietary information) are owned by you or licensed for the intended use.

  • One accountable point of contact improves speed and quality of outcomes.
  • Delays in feedback or missing materials may extend timelines and affect milestones.
  • We are not responsible for third-party rights violations caused by Client-supplied assets.

5) Timelines, Reviews, and Revisions

Timelines depend on scope, responsiveness, and availability. We may share an indicative schedule during discovery, but dates are estimates unless explicitly committed in writing. We typically structure work into phases (discovery, direction, execution, documentation, and handoff).

Review rounds are limited to what is stated in your Proposal/SOW. A “round” means consolidated feedback from your designated reviewers, delivered in one message/document. Multiple fragmented messages may be treated as separate rounds. Additional rounds may be billed.

If the project stalls due to Client inaction for an extended period, we may pause the project, reschedule capacity, or close the project with partial delivery depending on progress and commitments.

6) Fees, Payments, and Taxes

Fees are set in the Proposal/SOW. Unless otherwise stated, invoices are due upon receipt. Deposits/retainers (when applicable) reserve production capacity and are generally non-refundable. Late payments may pause work and delay delivery.

You are responsible for applicable taxes, duties, and governmental charges, excluding taxes based on our net income. You agree to reimburse reasonable out-of-pocket expenses if pre-approved in writing (for example, stock licensing, specialized printing proofs, or third-party tools).

7) Intellectual Property & Licensing

Upon full payment, you receive rights to the final Deliverables as described in your Proposal/SOW. Unless stated otherwise, working files, drafts, rejected concepts, experiments, and internal tools remain ours. We may reuse general know-how, process, and non-confidential techniques developed while performing Services.

If Deliverables include fonts, stock imagery, or third-party components, those remain subject to their respective licenses. You are responsible for maintaining any required third-party subscriptions or renewals. We can advise on recommended licensing pathways, but final compliance responsibility rests with the Client.

8) Confidentiality

We will treat non-public information you share as confidential and use it only for providing Services. You agree to keep our non-public methods, pricing, and drafts confidential. Confidentiality obligations do not apply to information that is publicly available through no fault, independently developed, or rightfully received from a third party.

9) Third-Party Tools and Materials

Projects may involve third-party tools (hosting platforms, design tools, analytics, printing vendors, CMS themes, plugins). We are not responsible for the operation, terms, outages, or policy changes of third parties. Where you request integration help, you acknowledge that third-party systems may impose limitations that affect outcomes.

10) Disclaimers

Our site and Services are provided “as is” to the maximum extent permitted by law. We do not guarantee specific business outcomes, revenue, conversion rates, rankings, or market acceptance. Brand strategy and creative work involves subjective judgment and market dynamics. You agree that final decisions are yours, and you accept responsibility for implementation.

11) Limitation of Liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, or goodwill arising from or related to the Services or website. Our total liability for any claim will not exceed the amount you paid us for the specific Services giving rise to the claim.

12) Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising out of (a) Client-supplied materials, (b) your misuse of Deliverables, (c) instructions that lead to infringement or regulatory violations, or (d) your implementation decisions.

13) Termination

Either party may terminate an engagement as described in the Proposal/SOW. Upon termination, you remain responsible for fees accrued and work completed up to the termination date. We may deliver work-in-progress in its current form once outstanding invoices are paid, subject to applicable licensing terms and project stage.

14) Governing Terms

We may update these Terms from time to time. The latest version posted governs new use of the website and new engagements. If a term in the Proposal/SOW conflicts with these Terms, the Proposal/SOW governs for that project. If any part of these Terms is found unenforceable, the remaining provisions remain in effect.

Practical note: For the fastest collaboration, keep feedback consolidated, nominate one decision maker, and confirm licensing for any third-party assets you want us to incorporate.
